(a) If as of, or at any time after, the date of this Agreement any Primary Credit Facility contains a Relevant Covenant that is not contained in this Agreement or a Relevant Covenant that is contained in this Agreement which would in any respect be more beneficial to the holders of Notes than the Relevant Covenants set forth in this Agreement (any such provision, a "More Favorable Covenant"), then the Issuer shall provide a Most Favored Lender Notice in respect of such More Favorable Covenant. Thereupon, unless waived in writing by the Majority Holders within 15 days after each holder's receipt of such notice, such More Favorable Covenant shall be deemed automatically incorporated by into this Agreement, mutatis mutandis, as if set forth in full herein, effective as of the date when such More Favorable Covenant shall have become effective under such Primary Credit Facility. Thereafter, upon the request of any holder of a Note, the Issuer shall (at its sole cost and expense) enter into any additional agreement or amendment to this Agreement requested by such holder evidencing any of the foregoing.
(b) Any More Favorable Covenant incorporated into this Agreement (herein referred to as an "Incorporated Covenant") (i) shall be deemed automatically amended herein to reflect any subsequent amendments made to such Incorporated Covenant under all of the applicable Primary Credit Facilities which make such Incorporated Covenant less restrictive on the Company and (ii) shall be deemed automatically deleted from this Agreement at such time as such Incorporated Covenant is deleted or otherwise removed from each such Primary Credit Facility or each such Primary Credit Facility shall be terminated; provided, however, that
a. notwithstanding the foregoing, such Incorporated Covenant shall continue to apply and be deemed to be set forth in this Agreement until the applicable Additional Covenant Effective Date in respect thereof, and if a Default or Event of Default then exists (including, without limitation, as a result of a breach of any Incorporated Covenant), such Incorporated Covenant shall not be deemed to be amended or deleted from this Agreement at any time such Default or Event of Default is continuing, and
b. if any lender or the agent under a Primary Credit Facility is paid any remuneration as consideration for the amendment or modification or removal of such Incorporated Covenant then such remuneration shall be concurrently paid, on the same equivalent terms, ratably to each holder of the Notes then outstanding.
(c) Upon the effectiveness of any amendment upon the request of the Issuer or any holder of Notes, the holders of Notes (if applicable) and the Issuer shall (at the Issuer's sole cost and expense) enter into any additional agreement or amendment to this Agreement reasonably requested by the Issuer or a holder of Notes, as the case may be, evidencing the amendment of any such Incorporated Covenant. Upon the effectiveness of any deletion or removal, upon the request of the Issuer, the holders of Notes shall (at the Issuer's sole cost and expense) enter into any additional agreement or amendment to this Agreement requested by the Issuer evidencing the deletion and termination of any such Incorporated Covenant.
(d) For the avoidance of doubt, each of the Relevant Covenants in this Agreement as of the date of the Agreement (and as amended other than by operation of clause (a) above) shall remain in this Agreement regardless of whether any More Favorable Covenants are incorporated into this Agreement.
(e) "Additional Covenant Effective Date" means, in respect of any Incorporated Covenant, the day on which the holders of Notes receive a compliance certificate in connection with the Issuer's semi-annual or annual consolidated financial statements, as applicable, covering the next subsequent financial period of the Issuer following the financial period in which such Incorporated Covenant was removed, terminated, amended or modified, as applicable, under the relevant Primary Credit Facilities or the relevant Primary Credit Facilities were terminated.
(f) "Most Favored Lender Notice" means, in respect of any More Favorable Covenant, a written notice to each of the holders of the Notes delivered promptly, and in any event within five Business Days after the inclusion of such More Favorable Covenant in any Primary Credit Facility (including by way of amendment or other modification of any existing provision thereof) from a Senior Financial Officer of the Company referring to the provisions and setting forth a reasonably detailed description of such More Favorable Covenant (including any defined terms used therein) and related explanatory calculations, as applicable.
(g) "Relevant Covenant" means any financial covenant and limitations to priority debt and liens, other than in the case of any of the foregoing that is solely limited to restricting any intercompany obligations or transactions.

A seguito di ciò, in assenza di rinuncia scritta da parte della Maggioranza dei Possessori entro 15 giorni dal ricevimento da parte di ciascuno del suddetto avviso, l’Accordo Più Favorevole sarà incorporato automaticamente al presente Accordo, mutatis mutandis, come se qui indicato integralmente, valido dalla data in cui l’ Accordo Piu’ Favorevole avrà assunto validità nella Linea di Credito Primaria. Successivamente, su richiesta di uno qualsiasi dei possessori eii Titolo, l’Emittente inserirà (totalmente a sue spese) eventuali accordi o emendamenti nel presente Contratto come richiesto dallo stesso Possessore, evidenziando quanto sopra citato.
(b) Qualsiasi Accordo Più Favorevole inserito nel presente Contratto (qui denominato “Accordo Integrativo”) (i) sarà considerato automaticamente modificato al fine di adeguarsi a qualsivoglia altro emendamento successivo allo stesso Accordo Integrativo in accordo con tutte le Linee di Credito Primarie valide che rendono lo stesso Accordo Integrativo meno restrittivo per la Società e (ii) sarà considerato automaticamente eliminato dal presente Contratto nel momento in cui l’Accordo Integrativo sia eliminato o altresì rimosso da ciascuna delle Linee di Credito Primarie o ciascuna delle Linee di Credito Primarie sia conclusa; tuttavia, premesso che:
a. Fermo restando quanto sopra citato, tale Accordo Integrativo continuerà ad essere applicato e sarà considerato parte del presente Contratto fino alla Data di Validità Aggiuntiva dell’Accordo, e in caso di Inadempienza (incluso, a mero titolo esemplificativo e non esaustivo, l’esito di una violazione di un qualsivoglia Accordo Integrativo) tale Accordo Integrativo non sarà da ritenersi modificato o annullato dal presente Contratto ogni qualvolta si verifichi un’Inadempienza o un caso di Inadempienza, e

Nel caso in cui un qualsiasi prestatore o agente di una Linea di Credito Primaria percepisca un compenso a fronte di un emendamento o modifica o cancellazione dell’Accordo Integrativo, tale compenso dovrà essere corrisposto contemporaneamente, negli stessi termini, nella stessa proporzione a ciascun titolare di Titoli
(c) A fronte dell’efficacia di una modifica su richiesta dell’Emittente o di uno dei possessori di Titoli, questi ultimi (se applicabile) e l’Emittente (a suo totale carico) introdurranno un qualsivoglia accordo o emendamento ulteriore al presente Contratto su ragionevole richiesta dell’Emittente o del Possessore di Titolo, a seconda dei casi, sottolineando l’emendamento di un tale Accordo Integrativo. A fronte dell’efficacia di una cancellazione o rimozione, su richiesta dell’Emittente, i possessori di Titoli, (a totale carico dell’Emittente) introdurranno un qualsivoglia accordo o emendamento ulteriore al presente Contratto su richiesta dell’Emittente sottolineando l’annullamento e la conclusione di un tale Accordo Integrativo
(d) Al fine di dissipare dubbi, ciascuno degli Accordi Pertinenti del presente Contratto, a far data dal Contratto (e modificato da operazioni diverse dalla succitata clausola (a) ) rimarranno nel presente Contratto a prescindere dal fatto che qualsiasi altro Accordo Più Favorevole sia inserito nel presente Contratto.
(e) Con "Data di Validità Aggiuntiva dell’Accordo " si intende , rispetto ad Accordi Integrativi, il giorno in cui i possessori dei Titoli ricevono un certificato di conformità relativamente ai bilanci consolidati semestrale o annuale dell’Emittente, ove possibile, che riguarda l’esercizio finanziario dell’Emittente subito successivo a quello nel quale l’Accordo Integrativo è stato rimosso, concluso o modificato, a seconda dei casi, nell’ambito delle pertinenti Linee di Credito Primarie o laddove le Linee di Credito Primarie si siano concluse.
(f) Con "Avviso al Prestatore Preferenziale" si intende , nell’ambito di un qualsivoglia Accordo Piu’ Favorevole, un avviso scritto consegnato tempestivamente a ciascuno dei Possessori dei Titoli, e comunque entro cinque Giorni Lavorativi dall’introduzione di tale Accordo Più Favorevole all’interno di una Linea di Credito Primaria ( incluso mediante emendamento o qualsivoglia altra modifica di disposizione esistente dello stesso) da parte di un Funzionario Finanziario della Società con riferimento alle disposizioni e stabilendo un descrizione ragionevolmente dettagliata di tale Accordo Più Favorevole (compreso qualsiasi condizione specifica utilizzata ) e i relativi calcoli descrittivi, ove possibile.
(g) Con "Accordo Pertinente" si intende un qualunque accordo finanziario e limitazioni al debito primario e privilegi precedenti, oltre al caso sopra descritto che si limita unicamente a ridurre obblighi o transazioni tra società.

Testo originale - Inglese Once power is applied to the LCP the HMI will run through a self test procedure to ensure that it is fully functional and communication has been established with the PLC. Once this has been successfully completed the HMI display will display the P&ID FRONT SCREEN screen (see section 5.3.1) from where all other HMI control and monitoring functions can be accessed.
Once the HMI and PLC are available for operation the PLC will check that the SRS is fault free. The SRS can be started and put into Automatic Control, which is the normal mode of operation.
During operation of the SRS it is only necessary to monitor system information. No changes to the operating parameters need to be made. Biogas processing takes place in a passive media alloggiamento and no further intervention is required. Following a fixed period of gas flow, during which the media becomes saturated with siloxanes, regeneration of the saturated media with heated air is carried out automatically.
(Nota: for the restart procedure that follows an unexpected power outage see section 5.4.2.)
When ready for operation the HMI makes available the START touch button on the Start/Stop screen of the HMI (section 5.3.3). The system can be started and stopped both locally at the HMI and remotely via a DCS link (if connected). Neither method of system control takes precedence over the other and both are valid control methods for normal operation.
For local control touching the START button will put the SRS into automatic operation.
Nota: It is only necessary to touch a component on the screen for
action to occur. When “pressing” a touch screen component care must
be taken not to cause damage to the screen through the use of excessive
force.
A separate mode of “engineering control” is accessible that allows for the individual operation of valves and other components. This is not a valid method of normal control for the SRS and is only used as a diagnostic tool when fault-finding or during system commissioning. This mode can only be accessed by PpTek technicians or under the direct supervision of PpTek Ltd.. (See section 5.3.22 for further information.)
For correct and safe operation of the SRS various system set points and control variables are required. These parameters (see Sections 5.3.10 – 5.3.14) are factory pre-set although may be adjusted during system commissioning to take account of local site conditions. Once commissioning is complete these values will not normally require changing unless instructions are issued by PpTek Ltd..
5.1.2 Panoramica: errori e guasti
During automatic control the PLC monitors the status of the SRS using a variety of temperature, pressure and air flow sensors and position monitors (see section 4.1.4). If the PLC detects an abnormal condition the system will automatically respond according to the type of fault encountered. The list of faults and the system response is given in section x.x.
Once the PLC has recognised a fault a fault code will be generated and stored as part of the Alarms List within the HMI. The full list of faults and events can then be accessed from the Fault screen of the HMI (see section 5.3.4).
Faults fall into two main categories depending on whether they are transient (e.g. high gas pressure) which allow the SRS to continue once the fault condition has been corrected or persistent (e.g. temperature sensor failure) which require the SRS to shut-down. Generally, if the SRS has to shut-down the PLC will ascertain if the media is at high temperature and ensure that cooling of the media has been allowed to complete before the shut-down occurs. Instant shut-down will, however, take place if power is lost or the e-stop is activated.
To recover from fault mode it is necessary to ascertain the nature of the fault, correct the condition (for example replace a faulty temperature sensor), acknowledge the fault on the Fault screen and reset the fault using the GENERALRESET touch button that is visible on the HMI (see section 5.3.3). The RESET touch button will be removed once all faults have been reset. If the fault still exists, then the button will remain and the SRS will remain in fault mode. To resume operation, the unit will then need to be started via the Start/Stop screen.
Certain faults of the in-line heater require a separate, mechanical, fault reset using the key switch on the LCP. This “Heater Protection Fault” also requires resetting in a similar manner to an ordinary fault as described above.
Further information concerning fault conditions and fault finding are given in section 5.4.

Una volta pronto ad iniziare lo IUM renderà disponibile l’uso del pulsante touch START sul display Start/Stop del IUM (paragrafo 5.3.3). Il sistema puo’ essere avviato e fermato sia direttamente dal IUM sia da remoto attraverso link DCS (se connesso). Nessuno dei due sistemi di controllo prevale sull’altro ed entrambi sono validi metodi di controllo per operazioni standard.
Per il controllo diretto, premendo il pulsante START si metterà il SRS in operazione automatica.
Nota: è sufficiente toccare un componente sul touch screen per la singola azione da avviare. Nel “premere” un componente del touch screen, bisogna fare attenzione a non utilizzare troppa forza per non danneggiare lo schermo.
E’ possibile accedere a una funzione di “controllo meccanico” che consente il controllo da parte dell’individuo di valvole ed altre componenti. Non si tratta di un metodo valido di controllo standard per il sistema SRS e viene unicamente utilizzato come strumento per individuare guasti o durante la messa in funzione del sistema. Solo i tecnici di PpTek hanno facoltà accedere a questa funzione o sotto la supervisione diretta di Pp Tek Ltd. (Vedi paragrafo 5.3.22 per ulteriori informazioni)
Per un utilizzo corretto e sicuro di SRS, sono richieste svariate regolazioni e variabili di controllo. Questi parametri (vedi Paragrafi 5.3.10-5.3.14) sono preimpostati sebbene possano essere regolati durante la messa in funzione del sistema in considerazione delle condizioni stesse del luogo. Dopo che il CLP ha riconosciuto un errore, si genera un codice d’errore memorizzato come parte della Lista Alarms del IUM. E’ quindi possibile accedere alla lista completa degli errori ed episodi dalla schermata Fault dello IUM (vedi paragrafo 5.3.4)
I guasti si suddividono in due principali categorie in relazione al fatto che siano temporanei (per es. alta pressione del gas) permettendo al SRS di continuare una volta corretto il guasto o persistenti (per es. guasto nel sensore di temperatura) che implica l’interruzione del SRS. Comunemente, se il SRS deve spegnersi, il CLP verificherà se il media filtrante è surriscaldato e assicurerà che il raffreddamento dello stesso avvenga prima dello spegnimento . Tuttavia, si attiverà lo spegnimento immediato in caso di perdita di corrente o nel caso in cui lo e-stop sia attivato.
Per ripristinare il sistema dalla modalità errore, è necessario capire la natura dell’errore, correggere il guasto (per esempio sostituire un sensore di temperatura danneggiato), riconoscere l’errore sullo schermo Fault e resettarlo utilizzando il pulsante touch GENERAL RESET che si visualizza sul IUM (vedi paragrafo 5.3.3). Il comando touch RESET scompare quando vengono resettati tutti gli errori. Se permane l’errore, rimane anche il pulsante e il SRS resta in modalità errore. Per riprendere l’operazione, bisognerà far ripartire il dispositivo dalla schermata Start/Stop.
Alcuni guasti dell’impianto di riscaldamento richiedono un reset separato e meccanico mediante l’uso dell’interruttore a chiave sul PCL. Anche questo “Errore di Protezione del Riscaldamento” richiede di essere resettato allo stesso modo di un guasto standard come più sopra descritto.
Ulteriori informazioni in merito a guasti e alla loro individuazione sono fornite nel paragrafo 5.4.

The SQE Manager reports directly to the Managing Director and is responsible for the creation of a Quality Management Plan which will ensure the control of all activities within the contract which affect quality of the product and services. He will put into place a planned programme of audits which will ensure that all aspects of the contract are placed under regular review.
The Finance Manager is responsible to the Managing Director for the financial activities of the company. He is responsible for the cash flow of the company and the preparation of auditable company accounts and the presentation of regular financial reports to the management team.
The Director of ES is responsible to the Managing Director for the overall management of all contractual matters appertaining to the contract. He will apply such resource as is necessary to control the contract and will act as the central co-coordinating body. His department will ensure that all completed goods are dispatched and invoiced promptly to the programme and will maintain communications with our customer on all contractual matters.
The Project Manager is responsible for ensuring that the scope of supply meets contracted standards and the declared technical and financial objectives.
He is responsible for all submissions and any technical or commercial communications with the customer and is also responsible for the management and approval of all technical work carried out on the project; for progressing economic and quality design of the systems and the correct and timely presentation of technical documentation.
The Project Engineer is responsible to the Engineering Manager for the design of all components, assemblies and systems within this contract. He works under the guidance of the Engineering Manager to ensure compliance to customer specifications and to ensure that product meets all legal requirements and restrictions.

Personali, con indicazione del titolare del supporto stesso (persona autorizzata a viaggiare nel sistema con lo specifico titolo di viaggio) e di una serie di dati anagrafici;
Impersonali nominativi, con indicazione del titolare del supporto stesso e di una serie di dati anagrafici, utilizzabile, in momenti differenti, da persone differenti;
Impersonali non nominativi, senza indicazione del titolare del supporto stesso e quindi utilizzabile, in momenti differenti, da persone differenti.
I supporti dovranno essere identificati tramite codice univoco all’interno del sistema, a prescindere da quale sia l’operatore che emette il supporto stesso. Gli utenti potranno registrare il supporto (anche per supporti emessi come impersonali, ad es., trasformando un supporto impersonale non nominativo in supporto nominativo) per accedere alle relative informazioni.
I titoli di viaggio/contratti dovranno essere:
A forfait, per titoli preferenziali prepagati (ad es.: abbonamenti), anche con funzione di cap tariffario giornaliero, settimanale o mensile;
A consumo, per titoli non preferenziali prepagati (ad es.: viaggi di corsa semplice), con individuazione della validità o senza individuazione della validità specifica, con gestione dinamica del titolo da parte dell’utente (credito trasporti a scalare/carte valore, modello analogo a quello del credito telefonico prepagato);
A consumo, per titoli non preferenziali post-pagati ed addebito periodico su Carta di Credito/Conto bancario (ad es. viaggi di corsa semplice), senza individuazione della validità specifica, con gestione dinamica del titolo da parte dell’utente.
I titoli di viaggio/contratti personali non possono essere caricati su supporti impersonali; i titoli di viaggio/contratti impersonali possono essere caricati su supporti personali ed in tal caso possono essere fruiti solamente dal titolare del supporto. I titoli a consumo post-pagati sono sempre titoli personali.
La validazione potrà avvenire:
Sui bus, all’atto di salita ed eventualmente anche all’atto di discesa
da ogni singolo autobus utilizzato per compiere il viaggio;
Sui treni-metrò, all’ingresso in stazione e all’uscita della stazione ove previsto;
Nelle località di servizio attrezzate con varchi ad apertura comandata dal possesso di un TDV;
Il sistema SBE dovrà essere in grado di gestire il sistema tariffario esistente e nuove strutture tariffarie e offerte commerciali. Tutte le offerte commerciali e le tariffe ad oggi gestite tramite supporti cartacei e/o magnetici dovranno essere gestite tramite supporto elettronico, consentendo quindi la dismissione progressiva della tecnologia cartacea. La flessibilità del sistema dovrà permettere di implementare strutture tariffarie basate sulla coesistenza di diversi tipi di contratti, diversi principi di validità territoriale e temporale e diverse politiche di prezzi/sconti.
Il sistema SBE dovrà permettere di costruire soluzioni basate su tutte le combinazioni di tariffazione prevista dalla struttura tariffaria. In particolare, ed in via non esclusiva, SBE dovrà consentire di costruire:
Tariffe cumulate e integrate tra differenti operatori di trasporto anche cumulando porzioni di percorso con differenti tipologie di tariffazione (ad es. tratte tariffate a chilometro integrate con tratte tariffate a zone su operatori differenti oppure tariffe di prima classe integrate con tariffe TPL o di seconda classe);
Tariffe cumulate (con o senza sconti) o integrate tra differenti sistemi tariffari (ad es. di bacini differenti);
Offerte commerciali con scontista associata ad alcuni degli attributi individuati (ad es.: cap tariffario giornaliero).
Dovrà essere possibile associare l’emissione di titoli di viaggio/contratti, di tessere, di tariffe agevolate solo ad utenti appartenenti a determinate categorie.
Qualunque operatore aderente a SBE dovrà essere in grado di vedere a sistema, emettere, e rendicontare qualsivoglia tariffa gestita da BELL, sia essa mono-operatore o pluri-operatore.
Il credito trasporti a scalare, il post-addebito e il pagamento con carte di credito bancarie a standard EMV sono per definizione tariffe pluri-operatore, ovvero il sistema dovrà consentire agli utenti di utilizzare il credito a scalare indifferentemente su tutti gli operatori aderenti a SBE così come di comporre itinerari in post-addebito o pagati con addebito su carta bancaria che comprendono più operatori, mantenendo le funzioni di addebito del miglior prezzo per l’utente. Per particolari opportunità commerciali o di altra natura, così come nelle fasi transitorie di attivazione del sistema, il post- addebito ed il pagamento con carte di credito bancarie a standard EMV potranno essere gestiti anche come tariffe mono-operatore o limitate ad un sottogruppo di operatori.
Il pagamento del titolo di viaggio/contratto potrà avvenire, senza scrittura fisica del contratto sul supporto stesso, tramite pagamento con Bancomat e Carta di Credito presso sportello ATM, addebito periodico su Carta di Credito o Conto Corrente Bancario (RID) e Carte bancarie contactless a standard EMV.
Infine, la vendita potrà avvenire, come modalità non ordinaria, a cura del personale incaricato del controllo della regolarità dei titoli di viaggio/contratti.
Su richiesta del cliente, SBE dovrà consentire, in fase di acquisto di titoli di viaggio a forfait od a consumo con indicazione della validità, di effettuare il pagamento utilizzando credito caricato sul supporto come credito a scalare.
Nel caso di titoli a consumo, post-pagati, senza individuazione della validità specifica, il pagamento avverrà a scadenza periodica con addebito su Carta di Credito o Conto Bancario intestato all’utente e relativo all’importo complessivo di tutti i viaggi effettuati nel periodo considerato.
La validazione dovrà avvenire tramite l’accostamento della tessera al dispositivo di validazione, generalmente senza intervento diretto da parte del cliente in nessuna fase del processo di validazione. Il dispositivo di validazione dovrà essere fruito in modo passivo dall’utente, che si limita ad avvicinare il supporto al dispositivo stesso, senza interagire con lo stesso in altro modo; conseguentemente, il dispositivo di validazione dovrà essere in grado di compiere tutte le operazioni per la corretta gestione del supporto e del contratto di viaggio. La funzione principale del dispositivo di validazione dovrà essere quella di riconoscere il supporto e il particolare titolo di viaggio/contratto ivi caricato, per poi applicare la corrispondente tariffa.
A titolo indicativo se il contratto da validare sarà un contratto a consumo senza individuazione della validità specifica, il dispositivo di convalida dovrà automaticamente addebitare il prezzo massimo previsto dal sistema o quello fino al punto più lontano raggiungibile a valle della convalida effettuata, ammettendo che l’utente possa avere un credito negativo o “fido” fino ad un valore massimo da definire. Al termine del viaggio e dopo regolare convalida, il dispositivo di validazione, riconoscendo la tessera come in modalità Check-in - Checkout, deve calcolare l’effettiva tariffa determinando l’importo da restituire facendo la differenza tra, l’importo che era stato addebitato alla prima convalida meno il costo della tratta percorsa. Tale accredito a favore del cliente avverrà al momento del Checkout. Qualora al termine del viaggio non venisse effettuato il Checkout, non è eseguito alcun accredito a favore del cliente.
Il dispositivo di validazione deve fornire all’utente almeno le seguenti
informazioni:
Convalida avvenuta;
Titolo di viaggio/contratto utilizzato;
Credito a scalare utilizzato e credito a scalare rimanente oppure viaggi rimanenti oppure validità temporale rimanente;
Errori (eventuale).
L’attività di controlleria permette il controllo di tutti i titoli di viaggio elettronici emessi da SBE. La verifica dei titoli di viaggio dovrà avvenire a bordo o in banchina, secondo la modalità tradizionale, con intervento di personale specificatamente incaricato, munito di un terminale portatile di verifica, consistente in un computer palmare o analogo dispositivo in grado di leggere le informazioni scritte nel chip del supporto prescelto dall’utente.
La controlleria avverrà verificando che l’utente:
Abbia convalidato il supporto ad inizio del viaggio;
Abbia convalidato il supporto sul veicolo in cui si trova al momento;
Disponga di un titolo di viaggio idoneo per il viaggio che sta compiendo (in alternativa, per titoli a consumo senza individuazione della validità specifica, che disponga di abilitazione a tale offerta commerciale).
Il personale addetto alla controlleria, nonché il personale di bordo sugli autobus, qualora ritenuto commercialmente opportuno, dovrà essere anche in grado di:
Emettere titoli di viaggio/contratti di qualunque tipo tramite il dispositivo di verifica in suo possesso, effettuando apposita scrittura sul supporto elettronico in possesso dell’utente ed effettuandone, in istante successivo, la validazione;
Emettere sanzioni nei confronti di utenti rilevati non in regola.
I dati relativi a transazioni effettuate dal personale di controlleria (emissioni o sanzioni), nonché ai titoli di viaggio verificati, memorizzati localmente, dovranno essere poi inviati al centro del sistema. Le transazioni effettuate dal personale di controlleria dovranno essere regolabili con pagamento anche in modalità elettronica (carta di credito o bancomat) e dovranno prevedere il rilascio di una ricevuta all’utente.
Tutti i terminali portatili di verifica dovranno essere in grado di riconoscere e interagire, per tutte le funzioni previste, con tutti i supporti previsti dal sistema.
L’utente dovrà poter verificare tutti i viaggi effettuati con un determinato supporto nell’arco temporale dei sei mesi precedenti rispetto alla data di richiesta, visualizzando apposito estratto conto. Tale estratto conto dovrà essere visualizzabile e, a richiesta, stampabile tramite sito internet dell’operatore che ha emesso il supporto e punto di assistenza alla clientela dell’operatore che ha emesso il supporto.
L’estratto conto dovrà indicare:
Acquisti effettuati: titoli di viaggio/contratti (validità temporale, geografica, ecc. secondo i parametri sopra descritti), ricariche di credito a scalare;
Viaggi effettuati, a prescindere da quale operatore sia stato utilizzato nel singolo viaggio: origine; destinazione; instradamento; operatori utilizzati; data; prezzo; offerta commerciale utilizzata; titolo di viaggio/contratto utilizzato.
Il sistema SBE renderà disponibili ai singoli operatori e, dove applicabile, al complesso degli operatori nonché al regolatore (Regione, Enti Locali e Agenzie) i dati statistici in forma anonima, senza associazione con l’identificativo del supporto (ed eventuali dati personali del titolare associati) che ha effettivamente effettuato il viaggio. Il dettaglio delle informazioni rese disponibili ai differenti utilizzatori potrà essere differente e funzione del grado di sensibilità commerciale dello specifico dato. Gli operatori potranno definire, in accordo con il regolatore, i differenti livelli di visibilità dei singoli dati.
SBE dovrà prevedere che tutti gli operatori possano vendere tutti i titoli di viaggio previsti dal sistema, indipendentemente dal fatto che gli stessi siano viaggiabili o viaggiati su servizi dell’operatore che ha emesso il titolo o, totalmente o parzialmente, su servizi di altri operatori. Ne consegue quindi la necessità di prevedere una corretta allocazione dei ricavi da traffico.
L’allocazione dei ricavi, per ogni specifico titolo di viaggio previsto dal sistema e secondo i modelli e le regole di clearing cha saranno individuati, avverrà:
Per i titoli mono-operatore (a forfait o a consumo), interamente all’operatore che ammette sui propri servizi il titolo in oggetto (nel periodi di non esclusività del sistema tariffario integrato);
Per titoli pluri-operatore cumulati (a forfait od a consumo), considerando gli stessi come mera somma di titoli mono-operatore, pro-quota (valore del titolo mono-operatore inserito nel cumulo) a ciascun operatore che ammette sui propri servizi il titolo in oggetto;
Per i titoli pluri-operatore integrati (a forfait o a consumo), il sistema dovrà consentire di configurare, tramite opportune parametrazioni, differenti regole di clearing che considerino il venduto, il viaggiato, le convalide ecc.
Il sistema SBE dovrà essere in grado di gestire, come requisiti minimo, le seguenti categorie di utenza.
Locali: residenti in provincia di Brescia.
Regionali: residenti nella Regione Lombardia.
Studenti.
Lavoratori.
Pensionati.
Occasionali.
Dipendenti.
Turisti.
Ogni categoria potrà a sua volta essere suddivisa in altre tipologie di utenza.
Traduzione - Inglese CHAPTER. 7.3. REQUIREMENTS RELATED TO FARE CRITERIA AND REFERENCE COMMERCIAL PROCESSES
The ETS system shall be able to manage the electronic cards by travel tickets (identified by the system as travel tickets/contracts):
Personal cards, with indications of the owner of the card (person authorized to travel within the system with that specific travel ticket) and his biographical data
Impersonal named cards, with indication of the owner of the card and his biographical data, that can be used from different persons at different moments.
Impersonal not named cards, without any indication of the owner of the card itself, that can be used by different persons at different moments
The cards will have to be identified by a unique code within the system, regardless of the operator issuing the card. Travellers will be able to register the card (even cards issued as impersonal, for instance, by transforming an impersonal and not named card into a named card) to have access to the relative information.
Travel tickets/contracts will have to be:
Flat rate tickets, for preferential prepaid tickets (for example passes) even with cap fare function for daily, weekly or monthly tickets.
Consumption tickets, for non preferential pre-paid tickets (for example one-way tickets) with or without reference to a validity period, with a flexible management of the ticket by the end user (prepaid transport cards/value cards, same model as the prepaid phone cards).
Consumption tickets for non preferential post-paid tickets, with regular charge on the Credit Card/Current Account (for example one-way tickets) without any reference to a specific validity period and flexible management of the ticket by the traveller.
Personal travel tickets/contracts cannot be charged on impersonal cards; impersonal travel tickets/contracts can be charged on personal cards and can only be used by the owner of the card. Post-paid consumption tickets are always personal tickets.
Validation shall take place:
On buses, when getting on or even when getting off every single bus used to make the journey;
On the underground trains, at the entrance of the station or at the exit when possible
At service areas equipped with opening gates controlled by TDV;
The ETS system shall be able to manage the existing fare system as well as new fares and commercial offers. All the commercial offers and fares that have been managed up to now by paper and/or magnetic card will have to be managed by electronic card thus allowing the ongoing removal of paper technology. The system flexibility will have to make possible the implementation of fare structures, based on the coexistence of different types of contracts, different criteria of territorial and time validity as well as different price/discount policies.
The ETS system shall allow the creation of solutions based on all the fares combinations, as foreseen by the fare structure. In particular, and not exclusively, ETS will have to permit to create:
Fares combined and integrated between different transport operators even combining route segments that have different fare criteria (eg. Segments with fares calculated on kilometres integrated with segments calculated on city areas on different operators or first-class fares integrated with TPL or second class fares);
Fares combined (with or without discounts) or integrated between different tariff systems (eg. Different systems);
Commercial offers with discounts related to some particular aspects (eg. Cap daily fare).
It shall be possible to combine the issuing of travel tickets/contracts, of cards, of cut fares only for users belonging to certain categories.
Any operator using ETS shall be able to view the operating system, issue and report any fare managed by BELL, both in case it is linked to a single operator or to more than one.

The prepaid transport card, the post-debit payment and the payment by standard EMV credit cards are, in terms, multi-operators fares, in other words, the system shall allow end users to use their prepaid cards with all the operators adhering to ETS as well as plan routes with post debit or credit card payment combining more operators and maintaining the best price for the end user. In case of particular commercial events, as well as during the transition period before the implementation of the system, the post-debit and the EMV credit card payments will also be handled as single-operator fares or limited to a small group of operators.
The travel ticket/contract payment shall be made, without any mention of the contract on the card, by ATM and credit card, by regular debit on the credit card or bank current account (DD) and bank EMV contactless credit cards.
Finally, the selling of tickets/contracts shall exceptionally be made by the personnel in charge of checking the validity of tickets/contracts.
Upon request of the customer, ETS shall allow, during the purchase of a flat-rate or consumption ticket indicating the validity, to make the payment by using the credit charged on the card.
As for post-paid consumption tickets, with no reference to the validity, the payment will be done on a regular basis by debit on the user’s credit card or current account for the total amount of the journeys for that period.
Validation will be done by placing the card near the validator, usually with no direct action of the customer on the validation process. The validator device does not require any intervention by the end user who only has to place his card near it, with no other interaction; therefore the validator shall be able to perform all the necessary operations for the correct management of the card and of the travel contract. The main function of the validator device is to recognize the card and the travel ticket/contract therein charged, and then charge the correspondent fare.
In general, if the ticket to be validated is a consumption ticket with no reference to a specific validity, the validator device shall automatically charge the highest fare or the farthest destination possible, taking for granted the possibility that there is not enough credit or recognising a “trust” up to a certain value. At the end of the journey and after regular validation, the validator, recognizing the card in modality Check-in – Check-out, must calculate the real fare and the amount to return back, estimating the difference between the amount debited at the first validation minus the cost of the route segment actually made. This credit will take place at the Check-out. In case no check-out is made at the end of the journey, no credit is given to the customer.
The validator must at least provide to the end user with the following information:
Validation executed;
Travel ticket/contract used;
Credit used and credit remaining or remaining journeys or remaining time validity;
Errors (possible).
The controller activity allows the checking of all the electronic tickets issued by ETS. The checking of travel tickets will have to take place on board or on the platform, according to the traditional method, by personnel in charge, equipped by a portable terminal, that is a palmtop computer or alike, able to read the information written in the chip of the card chosen by the customer.
The controller activity shall verify that the user:
Has validated the card at the beginning of the journey;
Has validated the card on the vehicle where he is at the moment;
Has a travel ticket appropriate for the journey he is making (or, for consumption tickets with no reference to the specific validity, that he is entitled to benefit from that commercial offer).
The controller’s activity personnel, as well as the personnel on board the buses, whether considered commercially suitable, shall also be able to:
Issue travel tickets/contracts of any kind by the checking instrument he is equipped with, by adequate writing on the electronic card of the end user and, soon after that, validating it;
Issue fines to end users with no regular tickets
All data referring to transactions carried out by the controller personnel (tickets issued and fines), as well as checked travel tickets, locally memorized, will have to be sent to the system centre. Transactions carried out by controllers will have to be paid also by electronic payment methods (credit card or ATM) and a receipt will have to be issued for the end user.
All the checking portable terminals shall be able to recognize and interact, for all the various functions, with all the cards involved in the system.
The end user shall be able to verify all the journeys made, through a specific card, over a six-month period previous the request date, and shall view an appropriate statement of account. The latter shall be viewed and printed, upon demand, on the internet site of the operator issuing the card and the custom care point of the operator issuing the card.
The statement will have to indicate:
Purchases made: travel tickets/contracts (temporal and geographic validity, etc. according to the criteria above described), pre paid cards.
Journeys undertaken, regardless of the operator used for every single journey: departure; destination; routing; used operators; date; price; commercial offer; travel ticket/contract used.
The ETS system shall make available to every operator, and where applicable, to all operators, as well as to the regulatory entity (Region, Local Entities and Agencies) the statistics in an anonymous form, with no reference to the card identification (or personal data of the owner) that has carried out the journey. The detail of the information made available to the various operators might be different according to the commercial importance of that specific data. Operators shall be able to define, upon agreement with the regulatory entity, the different visibility degree of single data.
ETS will have to plan the possibility for all the operators to sell all travel tickets previewed by the system, regardless of the fact that tickets will be used on those services provided by the operator issuing the ticket or, totally or partially, on other operators’services. It is therefore necessary to calculate a right allocation of traffic-related income.
The income allocation, for every single travel ticket foreseen by the system and according to the clearing rules that will be established, will be considered:
For single-operator travel tickets (flat rate or consumption), wholly to the operator that accepts the specific ticket on its vehicles (in the period of non exclusivity of the integrated fare system);
For multi-operator combined travel tickets (flat rate or consumption), considering tickets as a sum of single-operator tickets, a pro quota (that is the value of the single-operator ticket within the total amount) to every operator that admits that travel ticket on its vehicles.
For multi-operator integrated travel tickets (flat rate or consumption), the system will have to set, by adequate indicators, different clearing rules that take into consideration the amount sold, the amount travelled, validations, etc.
The ETS system shall be able to manage, as a minimum requirement, the following end users categories.
Local: people resident in the Brescia province.
Regional: people resident in Lombardy region .
Students.
Workers.
Retired people.
Occasional users.
Employees.
Tourists.
Each category shall be further subdivided into other end users categories.
